Constitution of Friends of the Stewart Library of Weber State University

ARTICLE I: NAME

The name of this association shall be the Friends of the Stewart Library of Weber State University (hereinafter “Friends”).

 

ARTICLE II: PURPOSE

The Friends is an association of people and organizations who act as emissaries to connect the Stewart Library (hereinafter “Library”) to diverse, local communities. The Friends helps build a stronger Library through programming, outreach, fundraising, and other forms of support, particularly for efforts to preserve and promote regional history and culture.

 

ARTICLE III: MEMBERSHIP

Membership in the Friends is open to people and organizations, upon the payment of membership dues and according to the membership terms as set forth by the Board of Directors (hereinafter “Board”).

 

ARTICLE IV: DISTRIBUTION OF ASSETS UPON DISSOLUTION

Upon the dissolution of the Friends, assets shall be distributed for tax exempt purposes within the meaning of section 501 (c) (3) of the Internal Revenue Code, or corresponding section of any future tax code assets to the Weber State University (hereinafter “University”).

 

ARTICLE V: BOARD OF DIRECTORS

The number of the members of the Board shall not be fewer than three (3) and no more than fifteen (15), with the exact number to be set by resolution of the Board. The number of directors constituting the initial Board is five (5). The names and street addresses of the directors constituting the initial Board are as specified below. These directors shall serve until their successors are elected and qualified or until their earlier death, resignation or removal. The rights, privileges and duties of the directors and the manner of their election, term of office, and removal shall be as set forth in the bylaws (hereinafter “Bylaws”).

 

ARTICLE VII: AMENDMENTS

This Constitution may be amended by two thirds vote of the directors comprising a quorum of the Board at a meeting duly called for such a purpose.
